出口貿(mào)易合同

第九條付款條件：乙方應通過買賣雙方同意的銀行，開立以甲方為受益的人，不可撤銷的、可轉(zhuǎn)讓和可分割的、允許分批裝運和轉(zhuǎn)船的信用證。該信用證憑裝運單據(jù)在中國的中國銀行見單即付。
該信用證必須在前開出。
信用證有效期為裝船后天在中國到期。
第十條單據(jù)：甲方應向議付銀行提供已裝船清潔提單、fa票，裝箱單/重量單。第十一條裝運條件：
�、佥d運船只由甲方安排，允許分批裝運并允許轉(zhuǎn)船，
②甲方于貨物裝船后，應將合同號碼、品名、數(shù)量、船名、裝船日期以電報通知乙方。第十二條品質(zhì)和數(shù)量/重量的異議與索賠：貨到目的口岸后，乙方如發(fā)現(xiàn)貨物品質(zhì)及/或數(shù)量/重量與合同規(guī)定不符，附屬于保險公司及/或船公司的責任外，乙方可以憑雙方同意的檢驗機構(gòu)出具的檢驗證明向甲方提出異議。品質(zhì)異議須于貨到目的口岸之日起30天內(nèi)提出，數(shù)量/重量異議須于貨到目的口岸之日起15天內(nèi)提出。甲方應于收到異議后30天內(nèi)答復乙方。
第十三條人力不可抗拒因素：由于人力不可抗拒事故，是甲方不能在本合同規(guī)定期限內(nèi)交貨或者不能交貨的，甲方不負責任。但甲方必須立即以電報通知乙方。如乙方提出要求，甲方應以掛號函向乙方提供由中國國際貿(mào)易委員會或有關(guān)機構(gòu)出具的事故證明文件。第十四條仲裁：凡因執(zhí)行本合同或與本合同有關(guān)事項所發(fā)生的一切爭執(zhí)，應由雙方通過友好方式協(xié)商解決。如果不能取得協(xié)議時，則在被告國家根據(jù)被告國家仲裁機構(gòu)的仲裁程序規(guī)則進行仲裁。仲裁決定是終局的，對雙方具有同等的約束力，仲裁費用除非仲裁機構(gòu)另有約定外，均由敗訴一方負擔。

任何因本合同而發(fā)生或與本合同有關(guān)的爭議，應提交中國國際經(jīng)濟貿(mào)易仲裁委員會，按該會的仲裁規(guī)則進行仲裁。仲裁地點在中國。仲裁裁決是終局的，對雙方均有約束力。

本合同之簽訂地、或發(fā)生爭議時貨物所在地在中華人民共和國境內(nèi)或被訴人為中國法人的，適用中華人民共和國法律，除此規(guī)定外，適用《聯(lián)合國國際貨物銷售合同公約》。

本合同使用的ｆｏｂ、ｃｆｒ、ｃｉｆ、ｄｄｕ術(shù)語系根據(jù)國際商會《incoterms 1990》。
